Terms of Service

1. Acceptance of Terms

By registering for or using Brands365 ("Platform"), a product of WebPino Softwares, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you ("Merchant" or "User") and WebPino Softwares.

2. Description of Service

Brands365 is a managed Software-as-a-Service (SaaS) ecommerce platform that allows businesses to create, manage, and operate an online store. Services include but are not limited to:

• Online storefront with customizable themes
• Product, inventory, and order management
• Payment processing via Razorpay, UPI, and other supported gateways
• Shipping management and logistics integrations
• Customer and staff management tools
• Analytics and reporting dashboard

3. Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account at help@brands365.online.

4. Subscription & Payment

Access to the Platform requires an active paid subscription. Subscription fees are charged on a monthly or yearly basis as selected during registration. All payments are processed via UPI or other supported payment methods. Fees are non-refundable except as required by applicable law. WebPino Softwares reserves the right to modify pricing with 30 days' prior notice.

5. Acceptable Use

You agree not to use the Platform to:

• Sell counterfeit, illegal, or prohibited products
• Violate any applicable local, state, national, or international law
• Transmit any unsolicited commercial communications (spam)
• Infringe upon intellectual property rights of third parties
• Attempt to gain unauthorized access to any part of the Platform or its systems
• Upload malicious code, viruses, or any harmful software

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

6. Content Ownership & License

You retain ownership of all content you upload to the Platform (product images, descriptions, etc.). By uploading content, you grant WebPino Softwares a non-exclusive, royalty-free license to host, display, and process such content solely for the purpose of providing the Service. We do not claim ownership of your content.

7. Data & Privacy

We collect and process your personal data in accordance with our Privacy Policy. By using the Platform, you consent to such collection and processing. Your store's customer data is isolated and accessible only by you.

8. Service Availability & Uptime

We strive to maintain 99.9% uptime. However, the Platform may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances beyond our control. We are not liable for any losses arising from service interruptions.

9. Termination

Either party may terminate the agreement at any time. Upon termination, your store and associated data will be retained for 30 days, after which it will be permanently deleted. We reserve the right to terminate accounts for violation of these Terms without refund.

10. Limitation of Liability

To the maximum extent permitted by law, WebPino Softwares shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or revenue, arising out of your use of the Platform. Our total liability shall not exceed the amount paid by you in the three months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of India.

12. Changes to Terms

We may update these Terms from time to time. We will notify registered users via email at least 14 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
